These Terms of Service (“Terms”) govern your use of our website and your purchase of products and services from our company. By accessing our website, submitting an inquiry, requesting services, purchasing a product, or entering into an agreement with us, you agree to these Terms.

If you are entering into an agreement with us on behalf of a company or other organization, you represent that you have the authority to bind that organization to these Terms.

1. Our Products & Services

We provide industrial robotics, automation, engineering, integration, controls, programming, machine vision, installation, commissioning, training, consulting, and related products and services.

Our services may include, but are not limited to:

• Robotics integration

• PLC and robot programming

• Turnkey automation systems

• Machine vision and inspection systems

• Controls and electrical integration

• Custom machinery and tooling

• Installation and commissioning

• Safety system integration

• Engineering and system design

• Automation consulting

• Operator and maintenance training

• Ongoing service, support, and troubleshooting

• Project visualization and 3D modeling

• Other custom engineering and automation services

Because many of our projects are engineered specifically for individual applications, the exact scope, specifications, pricing, schedule, deliverables, and responsibilities for a project will be established in the applicable quotation, proposal, statement of work, purchase order, or other written agreement.

2. Quotes, Proposals & Project Agreements

Quotes and proposals are based on the information available to us at the time they are prepared. Unless otherwise stated in writing, a quote or proposal may be subject to expiration and may be revised if project requirements, specifications, quantities, materials, site conditions, or other relevant circumstances change.

A project does not become binding until the applicable quotation, proposal, purchase order, contract, or other written agreement has been accepted by the parties.

If these Terms conflict with the terms of a specific written project agreement, the specific project agreement will control with respect to that project.

3. Custom Engineering & Design

Automation projects frequently require custom engineering, design, programming, fabrication, and integration.

Project designs and recommendations are developed based on the information, specifications, operating conditions, facility information, and requirements provided to us. Changes to those requirements or conditions may require changes to the project's scope, cost, schedule, or design.

Customers are responsible for providing accurate and complete information reasonably necessary for us to perform the applicable services.

4. Project Changes

Changes requested after a project has been approved or work has begun may affect project cost and schedule.

Additional engineering, programming, materials, fabrication, travel, installation, or other work resulting from customer-requested changes, changed requirements, site conditions, delays, or other circumstances outside our reasonable control may result in additional charges.

Where practical, material changes will be documented and approved before the additional work is performed.

5. Installation & Site Requirements

When installation, commissioning, or other on-site services are included in a project, the customer is responsible for providing reasonable access to the facility and ensuring that the site is prepared for the scheduled work.

Unless otherwise agreed in writing, the customer is responsible for providing appropriate utilities, production access, facility conditions, permits, personnel, and other site requirements necessary for the project.

Unexpected site conditions, delays, restricted access, production interruptions, or conditions that differ materially from those represented during project planning may result in additional costs or schedule changes.

6. Commissioning & Acceptance

Following installation or completion of a system, equipment may undergo testing, commissioning, and acceptance procedures as specified in the applicable project agreement.

Acceptance criteria, performance requirements, cycle times, throughput, accuracy, and other project-specific specifications will be governed by the applicable quotation, proposal, statement of work, or contract.

Unless otherwise agreed in writing, minor issues that do not materially prevent the system from performing its intended function will not constitute grounds for rejection of an otherwise substantially completed project.

7. Training

Where training is included as part of a project, we may provide training for operators, maintenance personnel, engineering staff, or other designated personnel.

The customer is responsible for ensuring that appropriate personnel attend scheduled training and follow applicable operating, maintenance, and safety procedures after training has been completed.

8. Payments

Payment terms will be established in the applicable quotation, proposal, invoice, purchase order, or project agreement.

Customers are responsible for paying all amounts when due. Late payments may result in delays, suspension of work, additional charges, or other remedies permitted by the applicable agreement and law.

For custom projects, deposits or progress payments may be required before engineering, procurement, fabrication, programming, installation, or other work begins.

9. Taxes & Additional Costs

Unless otherwise stated, prices may not include applicable sales tax, use tax, shipping, freight, travel, lodging, permits, special site expenses, or other governmental or third-party charges.

Applicable charges will be identified in the applicable quote, invoice, or project documentation when reasonably determinable.

10. Intellectual Property

Unless otherwise agreed in writing, we retain ownership of our pre-existing intellectual property, engineering methods, proprietary processes, software libraries, templates, designs, tools, know-how, documentation, and other materials developed independently of a specific customer project.

Customer-specific deliverables and intellectual property rights will be governed by the applicable project agreement.

Nothing in these Terms grants a customer ownership of our pre-existing intellectual property unless expressly stated in writing.

11. Software & Programming

Automation projects may include PLC programs, robot programs, HMI software, vision-system configurations, control logic, documentation, and other software or programming.

The use, ownership, licensing, modification, transfer, and distribution of project-specific software will be governed by the applicable project agreement.

Customers may not copy, distribute, reverse engineer, or commercially exploit our proprietary software, libraries, tools, or programming methods except as expressly permitted in writing.

12. Third-Party Products & Components

Automation systems may incorporate products and components manufactured or supplied by third parties.

Examples may include robots, PLCs, drives, sensors, cameras, safety equipment, motors, conveyors, tooling, software, and other components.

Third-party products may be subject to the manufacturer's own warranties, licenses, limitations, and terms. We will pass through applicable manufacturer warranties to the extent permitted and applicable.

We are not responsible for changes, discontinuation, defects, delays, or other issues caused solely by third-party manufacturers or suppliers, except to the extent otherwise required by applicable law or expressly agreed in writing.

13. Safety

Industrial automation equipment must be operated and maintained in accordance with applicable safety requirements, manufacturer instructions, training, and established operating procedures.

Customers are responsible for maintaining safe operating conditions after installation and commissioning, including appropriate employee training, maintenance, guarding, procedures, and workplace practices.

Any safety-related requirements or responsibilities specific to a project will be established in the applicable project documentation.

14. Warranties

Any warranties applicable to products, equipment, services, workmanship, or systems will be provided in the applicable quotation, contract, warranty document, or manufacturer documentation.

Except where expressly provided in writing or required by applicable law, we do not make additional warranties regarding custom systems, equipment, software, or services.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded or limited.

15. Limitation of Liability

To the maximum extent permitted by applicable law, our liability arising from or related to a product, service, project, order, or agreement will be limited to the remedies and limitations established in the applicable written agreement.

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of production, loss of business opportunities, or business interruption, except to the extent such limitations are prohibited by applicable law or expressly modified by a written agreement.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

16. Force Majeure

We will not be responsible for delays or failures to perform caused by circumstances beyond our reasonable control.

Such circumstances may include natural disasters, severe weather, fire, flood, labor disruptions, transportation interruptions, supply-chain disruptions, shortages, governmental actions, utility failures, cyber incidents, equipment failures, acts of war or terrorism, epidemics, or other events beyond our reasonable control.

When such circumstances occur, project schedules and delivery dates may be reasonably adjusted.

17. Website Use

You may use our website for lawful business and informational purposes.

You agree not to:

• Attempt to gain unauthorized access to the website or its systems

• Interfere with the operation or security of the website

• Copy or reproduce website content without permission

• Use automated systems to improperly access or collect website information

• Submit false, misleading, or fraudulent information

18. Website Content

We make reasonable efforts to provide accurate information on our website. However, website content is provided for general informational purposes and may not contain every specification, limitation, or requirement applicable to a particular project.

Images, videos, examples, 3D models, descriptions, case studies, and other materials may illustrate representative capabilities and may not represent the exact configuration or performance of a customer's proposed system.

Project-specific specifications and commitments will be governed by the applicable written agreement.

19. Privacy

Your use of our website may also be subject to our Privacy Policy, which describes how information submitted through the website may be collected and used.

20. Cancellations & Refunds

Cancellations, returns, and refunds are governed by our applicable Return & Refund Policy and, for custom projects, the applicable quotation, proposal, purchase order, contract, or other written agreement.

Because many of our services and systems are custom-engineered, cancellation after work has begun may result in charges for work performed and costs incurred.

21. Governing Law

These Terms will be governed by the laws applicable to the jurisdiction specified in the applicable project agreement, unless otherwise required by applicable law.

If a project agreement does not specify a governing jurisdiction, the applicable governing law will be determined according to the laws applicable to the transaction and the parties.

22. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect to the extent permitted by law.

23. Changes to These Terms

We may update these Terms from time to time to reflect changes to our business, services, website, or legal requirements.

The updated version will be posted on our website with a revised “Last Updated” date.
